NOTICE OF THE 2023 THIRD EXTRAORDINARY GENERAL MEETING
NOTICE IS HEREBY GIVEN that the 2023 Third Extraordinary General Meeting of SDIC Power Holdings CO., LTD. will be held at Room 207, No.147 Xizhimen Nanxiao Street, Xicheng District, Beijing, the PRC, on Tuesday 23 May 2023 at 14:00 p.m., for the purpose of considering, and if thought fit, passing the following resolution.

The resolutions hereunder contain the English translation of the Chinese version of "Meeting materials for the 2023 Third Extraordinary General Meeting" as published on the website of the Shanghai Stock Exchange, and are provided for your reference only. In case of discrepancy between the Chinese version and the English version, the Chinese version shall prevail.

Proposal on Election of Director of the Company
Dear shareholders and shareholders' representatives,
After the former director ZHANG Wenping resigned from his position as a director of the Company, YU Haimiao was recommended as the candidate of the new director in accordance with the Company Law and theArticles of Associationand based on the recommendation of State Development & Investment Corp., Ltd., the controlling shareholder of the Company. His term of office will start from the date of adopting the resolution at the general meeting of shareholders and ends upon the expiration of the current board of directors.
The above proposal was reviewed and approved at the Ninth Meeting of the Twelfth Board of Directors of the Company on April 21, and is hereby presented to you for deliberation.
Please deliberate on the above proposal.
APPENDIX I BIOGRAPHICAL DETAILS OF THE DIRECTOR CANDIDATE
Biographical details of the Director candidate are as follows:
Mr. YU Haimiao
YU Haimiao, male, aged 49, a holder of master's degree in management, senior engineer. He has successively served as the director of the Engineering Technology Department, deputy chief engineer, chief engineer and deputy general manager of Tianjin SDIC Jinneng Electric Power Co., Ltd.(天津国投津能发电有限公司), general manager of SDIC Genting Meizhouwan Electric Power Co., Ltd.(国投云鼎湄洲湾电力有限公司), and deputy general manager of SDIC Power Holdings Co., Ltd.
After deliberation and approval at the Ninth Meeting of the Twelfth Board of Directors of SDIC Power, it is agreed to appoint Mr. YU Haimiao as the general manager of the Company.
